NOTICE OF ANNUAL GENERAL ASSEMBLY

TO ALL MEMBERS OF DAVAO REGION BRANCHES:

Notice is hereby given that the schedule of Annual General Assembly meeting of SILANGAN MULTIPURPOSE COOPERATIVE for all Davao Region Branches at SMX Convention Center, SM Lanang Premier, J.P. Laurel Avenue, Lanang, Davao City on Sunday, April 6, 2025, are as follows:

8 AM to 12 noon

For members of the following branches only:

BANKEROHAN, CALINAN, LAVERNA, MATINA, PANABO, TAGUM & TORIL

1 to 5 PM

For members of the following branches only:

ARAULLO, BONIFACIO, KM. 6 BUHANGIN, MINTAL, & R. CASTILLO

The AGENDA will be as follows:

1.        Call to Order
2.        Secretary’s Proof of Notice and Declaration/Consideration of Quorum
3.        Approval of the Agenda
4.         Reading, consideration and approval of the minutes of the 2024 Annual Regular General Assembly meeting held on March 9, 16 & 24, 2024. 
5.        Matters arising from the minutes
6.         New Businesses:

• Presentation and approval of the Audited Financial Statements for the year-ended December 31, 2024.
• Presentation and approval of the following reports for the year 2024:

•       Board of Directors
•       Audit Committee
•       Education & Training Committee
•       Election Committee
•       Ethics Committee
•       Credit Committee

• Presentation and approval of 2025 Annual Plan and Budget
• Ratification of Major Board Resolutions (January – December 2024)
• Appointment of External Auditor
• Approval of Proposed Amendments to Articles of Cooperation and By-Laws
• Election of:

•       Three (3) members of the Board of Directors
•       Two (2) members for Audit Committee 
•       Two (2) members for Election Committee

            Only REGULAR MEMBERS as of December 31, 2024 with no past due account, either as PRINCIPAL BORROWER or AS CO-MAKER, as of February 28, 2025 shall be entitled to attend and vote during the said General Assemblies.
